Securitize adds an SEC investment adviser to its regulated stack

The platform that issues BlackRock's BUIDL fund has registered Securitize Capital as an investment adviser, completing a set of licences that now runs from broker-dealer and trading venue to transfer agent, fund administrator and adviser.

What happened

Securitize said on 27 July that its subsidiary Securitize Capital LLC has registered with the US Securities and Exchange Commission as an investment adviser; crypto.news reported the registration became effective on 22 July. The unit previously operated as an exempt reporting adviser. The registration sits alongside the group's SEC-registered broker-dealer, alternative trading system, transfer agent and fund administration businesses. Chief executive Carlos Domingo said asset managers and institutional investors 'want partners that understand tokenization and regulated market obligations'. Securitize listed on the New York Stock Exchange earlier in July under the ticker SECZ.

Why it matters

Securitize manages more than $5bn in assets across tokenized funds for BlackRock, Apollo and KKR, including the $2.6bn BUIDL tokenized Treasury fund. Registration brings its management of tokenized strategies inside the Advisers Act's disclosure, compliance, recordkeeping and examination regime, at a moment when the SEC is working through how adviser rules apply to onchain portfolio tools: Commissioner Hester Peirce said in remarks on 22 July that managing certain crypto vaults may trigger investment-adviser obligations.

What is not settled

How adviser rules will apply to onchain vaults and automated strategies remains under consideration at the SEC. The market's reading of the step was cool: crypto.news reported SECZ falling nearly 10% on the day to $6.76, a market capitalisation of about $1bn, and CoinDesk noted the shares were down about 40% since listing, while a Citigroup analyst initiated coverage with a buy rating and a $10 target. Reported plans for new tokenized funds of $100m and more appear only in secondary coverage, not in the company's release, and are not asserted here.
